Strengthening Procurement with Complex Contracts

Client Background

A large defence contractor with an established procurement function of over 100 professionals identified a capability gap within part of its business.

The Scenario

While the organisation had a strong team of traditional procurement specialists, it was becoming increasingly reliant on commercial, legal and contracts teams to manage complex supplier agreements attached to a significant new programme of work.

This reliance created internal friction, slowed decision-making and placed additional pressure on departments whose focus should have remained elsewhere.
The client recognised that what was needed was not more procurement capacity, but procurement professionals with deep complex contracts capability — individuals comfortable operating at the intersection of procurement, contracts, and supplier performance management.

The Challenge

The requirement was for several Subcontracts Managers on a permanent basis.

These were not typical procurement roles.

The individuals needed to:

  • Be supplier-facing while possessing strong contracts negotiation and management expertise
  • Understand warranties, indemnities, NDAs, Ts & Cs and contractual flow-downs
  • Be capable of managing supplier performance against contractual KPIs
  • Operate confidently in a highly regulated defence manufacturing environment
  • Work closely with US stakeholders on a niche avionics programme
In essence, the client needed contracts professionals embedded within procurement.

Approach and Execution

Arguile implemented a tailored, relationship-driven approach:

The Turning Point

The client had worked with Arguile for several years on complex commercial contracts roles.
They understood that Arguile’s core expertise is not defined by job title, but by the complexity of the contractual environment individuals operate within.

Because of this, the client approached Arguile to support the requirement, recognising the natural crossover between complex commercial contracts expertise and this emerging procurement need.

The Solution

Arguile focused the search on individuals with blended career histories, for example:

Procurement Manager → Contracts Manager → Subcontracts / Supplier Contracts roles
Professionals experienced in supplier performance management and KPI governance
Individuals comfortable navigating both procurement discipline and contractual detail.

This ensured candidates could not only manage suppliers and purchasing activity, but also govern the contractual mechanisms that protect the client commercially and operationally.

Results and Impact

To date half the team of Subcontracts Managers placed during this phase of the programme, both delivered exclusively by Arguile.
Given the requirement for full-time, on-site presence, the client chose to pause the remaining hires while they reviewed how the new structure operated in practice and considered the best approach for completing the team.

The key outcome was that the client successfully embedded complex contracts capability directly into its procurement function for the first time, reducing reliance on legal and commercial departments and strengthening internal ownership of supplier agreements.

Insights for Procurement Leaders

This case highlights a growing trend in defence, aerospace and other highly regulated sectors.

Procurement teams are increasingly expected to:

  • Manage supplier performance against contractual KPIs, not just cost
  • Understand the legal and commercial mechanisms inside contracts
  • Reduce organisational reliance on separate commercial and legal teams
  • Own the full lifecycle of supplier agreements from negotiation through to performance governance

When procurement teams lack this contracts depth, organisations experience delays, inefficiencies and blurred ownership of supplier accountability.

The Wider Insight

Sophisticated procurement teams operating in complex, regulated environments increasingly recognise the need to embed dedicated contract management expertise within their procurement functions.

This case study shows how doing so can streamline internal operations, strengthen supplier governance and improve accountability across major programmes of work.

If these challenges resonate with your business, Arguile can provide the expertise and specialist talent you need.
